Terms of Service
Last updated October 9, 2026
These terms are an agreement between you and Health Council Inc. (“we”, “us”) for your use of Mousepad, our AI builder for websites and business apps, on mousepad.app, studio.mousepad.app and our industry and language sites. By creating an account or using Mousepad you agree to these terms and to our Privacy Policy. If you use Mousepad for a business, you confirm you may agree on its behalf, and “you” includes that business. If you don’t agree, don’t use Mousepad.
Please read section 16 carefully. It says that you and we will resolve disputes through binding individual arbitration instead of in court, and that you and we give up the right to a jury trial and to class actions. You can opt out within 30 days, as section 16 explains.
1. Your account
- You must be at least 18 and give accurate information, and keep it up to date. Keep your sign-in secure; you’re responsible for what happens in your account. If you think someone else has used it, tell us at once.
- Workspace owners decide who can see and change their workspace’s apps.
- We email you about your account and your apps, for example sign-in codes, billing and notices about your sites; these come with your account. We may also send product updates and tips, as our Privacy Policy explains, and you can unsubscribe from those at any time.
2. What Mousepad does
You describe what you need, and Mousepad uses AI to build an app or website: its pages, code, database, sign-in and images. You can preview it, change it by chatting, and publish it on an address we provide (a name under mousepads.app) or your own domain. Features and limits depend on your plan, as shown on the pricing page.
We give you a limited, non-exclusive, non-transferable licence, which we can withdraw as these terms allow, to use Mousepad under these terms, for yourself or your business, including to build apps for your clients. We may change or improve features; if we remove something significant from a paid plan, we’ll tell you in advance.
3. Not for health information
Mousepad is not for protected health information (PHI). Don’t use Mousepad, or any app built with it, to collect, store or send PHI, whether you are a healthcare provider, a health plan, or work for one. We don’t sign business associate agreements for Mousepad and don’t scan what you enter for health information. Demos and prototypes with made-up data are fine. If PHI turns up in Mousepad, we may disable the app and delete the data.
4. AI output
Apps and content are made by AI and can contain mistakes. They’re provided as is, for you to review: check your app, including its text, prices and images, before you publish it or rely on it. AI can make similar output for other people, and we don’t promise that what it makes for you is accurate, original or free of other people’s rights.
5. Your content and your apps
- You own what you put into Mousepad (your prompts, files and data) and, as between you and us, the apps it builds for you.
- You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, send and display your content only as needed to run, secure and support Mousepad for you, and to publish your apps where you tell us to. It ends when you delete the content, except for copies in backups until they expire, as our Privacy Policy describes.
- We don’t use your content to train AI models.
- You are responsible for your apps and what they collect: your own privacy notice and terms for your visitors, the consents you need (for example before sending them texts or emails), and any laws that apply to your business.
6. Acceptable use
You may not use Mousepad, or apps built with it, to:
- impersonate a real business, bank, government body or person, or collect other services’ passwords (phishing);
- collect payment card numbers yourself (take payments only through a payment provider’s hosted checkout, such as Stripe’s, with your own account);
- host malware, spam, deceptive, unlawful or infringing content, or content that harms minors;
- send texts or emails without the consent the law requires;
- attack, probe or overload Mousepad or other customers’ apps, mine cryptocurrency, get around usage limits, or open new accounts to avoid a suspension;
- resell Mousepad without our written agreement, or copy or reverse-engineer it except as the law allows.
We may block builds, take down apps or suspend accounts that break these rules, and report unlawful activity. Report abuse to privacy@mousepad.app.
7. Plans, credits and billing
- Some features are free. Paid plans renew monthly or yearly until you cancel, and are billed in advance through Stripe. Credits are used when the builder works for you; plan credits arrive each month, on yearly plans too, and credits you buy last 12 months.
- Upgrades take effect right away and are charged for the rest of the period. You can cancel any time; your plan continues to the end of the period you paid for.
- Payments are non-refundable, except where the law requires a refund.
- If a payment fails, your published apps keep running for at least 7 days; after that, sites beyond the free plan’s limits may be paused until the plan is paid.
- Prices may change; we’ll tell you before a change applies to your plan.
- Free apps may fall asleep when nobody uses them and wake up on the next visit.
- If you buy a domain through Mousepad, we register it in your name with Namecheap, whose registration agreement you accept when you buy. Your card is charged once the domain is registered. It renews each year, billed through Stripe before it expires, until you turn off its automatic renewal.
8. Our software and brand
Mousepad, including its software, design, components, name and logo, belongs to us or our licensors and is protected by intellectual property law. These terms don’t give you ownership of any of it, only the right to use Mousepad as section 2 describes and to use the parts included in your apps for as long as you use them in those apps. We keep every right we don’t expressly give you. Other companies’ names and logos shown in Mousepad belong to them.
9. Feedback
If you send us feedback or suggestions about Mousepad, you give us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free licence to use them in any way, without paying or crediting you. Please don’t send feedback you consider confidential.
10. Privacy
Our Privacy Policy explains what personal information we collect, how we use it and who receives it, and how we use cookies and similar technologies (see its Cookies section). It is part of these terms. If these terms and the Privacy Policy differ about personal information, the Privacy Policy applies.
11. Other services and other people
Mousepad works with other companies’ services, such as Stripe for payments, Google for Continue with Google and Namecheap for domains, and your apps can connect to others (for example payments or email providers). Their own terms and privacy policies apply to your use of them, and we aren’t responsible for them. Your dealings with other people, such as the members of your workspace or your apps’ visitors, are between you and them.
12. Ending your use
You can stop using Mousepad and delete your apps at any time, and ask us to delete your account. We may suspend or end your access if you break these terms or don’t pay, or if we stop offering Mousepad; where we can, we’ll give you notice and a chance to download your work first. We aren’t liable to you for suspending or ending your access under this section.
When these terms end, sections 5 (for backups until they expire), 7 (for amounts you owe), 8, 9 and 12 to 19 continue to apply.
13. Disclaimers
Mousepad, and everything it makes, is provided “as is” and “as available”. To the extent the law allows, we and our suppliers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and we don’t promise that Mousepad or the apps it builds will be uninterrupted, error-free, secure, free of harmful code, or fit for your purposes. Where the law requires a warranty anyway, it lasts 90 days from when you first use Mousepad.
14. Limitation of liability
To the extent the law allows: (a) we and our suppliers won’t be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue or data, or the cost of substitute products, arising from or related to these terms or Mousepad; and (b) our total liability for all claims relating to these terms or Mousepad is limited to the greater of the amount you paid us in the 12 months before the claim and US$100. Having more than one claim doesn’t increase this limit.
15. Indemnity
You’ll defend, indemnify and hold harmless us and our officers, employees and agents against claims, and the reasonable costs and lawyers’ fees that come with them, arising from your content, your apps and how they are used, the decisions you make about the laws that apply to your business, your breach of these terms, or your breach of any law. We may take over the defence of a claim at your expense, and you’ll cooperate with it. You won’t settle a claim without our written consent. We’ll make reasonable efforts to tell you promptly about any claim we learn of.
16. Resolving disputes: arbitration
Please read this section carefully. It affects your legal rights, including your right to go to court and to a jury trial.
16.1 What it covers. You and we agree to resolve any dispute arising out of or relating to Mousepad or these terms through binding individual arbitration, not in court, including disputes that arose before you agreed to these terms. Two kinds of claims are not covered: (a) an individual claim that qualifies for small claims court, which either of us may bring there; and (b) a request for an injunction or other equitable relief about intellectual property, such as trademarks, trade secrets or copyrights.
16.2 Try to resolve it first. Before starting an arbitration, the side with the dispute sends the other a written notice describing it. We send ours to the email address on your account; send yours to privacy@mousepad.app or by mail to 2375 East Imperial Hwy., STE 1102, Brea, CA 92821. Within 45 days of receiving the notice, we’ll both meet by phone or video in good faith to try to resolve it. If it isn’t resolved within 60 days of the notice, either of us may start an arbitration.
16.3 Rules. JAMS (jamsadr.com) runs the arbitration, under its Streamlined Arbitration Rules for claims under US$250,000 (not counting fees and interest) and its Comprehensive Arbitration Rules for larger ones. Unless we both agree otherwise, the arbitration takes place in the county where you live. Everything filed in the arbitration is confidential.
16.4 Starting an arbitration. A request for arbitration must include: (a) your contact details and the email address on your Mousepad account; (b) a description of the claims and the facts behind them; (c) the relief you’re asking for and a good-faith estimate of its amount; (d) confirmation that you completed the process in 16.2; and (e) proof that any required filing fee was paid.
16.5 The arbitrator. The arbitrator decides every dispute this section covers, including its scope and whether it can be enforced, except that a court decides: (a) challenges to the class action waiver in 16.7; (b) disputes about arbitration fees; (c) whether a condition for starting an arbitration, such as 16.2, was met; and (d) which version of this section applies. The arbitrator can give the same relief as a court, but only to an individual party. The award is final and binding, and any court with jurisdiction may enter judgment on it.
16.6 No jury trial. By agreeing to arbitration, you and we each give up the right to a trial by judge or jury for every claim this section covers.
16.7 No class actions. Disputes must be brought individually. Neither you nor we may bring a claim as a plaintiff or class member in any class, collective or representative proceeding. If a court finds this waiver can’t be enforced for a particular claim, that claim may go to the state or federal courts in Delaware, and every other claim stays in arbitration.
16.8 Lawyers’ fees. Each of us pays our own lawyers’ fees, unless the arbitrator finds a claim was frivolous or brought for an improper purpose.
16.9 Many similar claims. If 100 or more substantially similar requests for arbitration are filed against us within 30 days by the same law firm or a coordinated group, JAMS will group them in batches of 100, with one arbitrator and one set of fees for each batch.
16.10 Opting out. You can opt out of this section within 30 days of first accepting these terms. If you had an account before this version of the terms, you can opt out within 30 days after we tell you about it. Send us a written notice by email to privacy@mousepad.app or by mail to 2375 East Imperial Hwy., STE 1102, Brea, CA 92821, with your name, your address, the email address on your Mousepad account, and a clear statement that you want to opt out of arbitration. Opting out doesn’t affect the rest of these terms.
16.11 If part of this section is invalid. It will be changed only as much as needed to make it enforceable, and the rest of this section still applies.
17. Governing law
These terms, and any dispute arising out of or relating to them or to Mousepad, are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules, and section 16 by the Federal Arbitration Act. Any dispute that isn’t arbitrated under section 16 will be heard only in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. Either of us may still bring an individual claim in small claims court, or ask any court with jurisdiction for an injunction to protect intellectual property.
18. Changes to these terms
We may update these terms. We’ll post the new version here with a new date and, for significant changes, tell you by email or in Mousepad before they take effect. Continuing to use Mousepad after that means you accept them.
19. General terms
- Whole agreement. These terms and the Privacy Policy are the whole agreement between you and us about Mousepad.
- If part is invalid. If any part of these terms can’t be enforced, it will be changed only as much as needed to make it enforceable, and the rest still applies.
- No waiver. If we don’t enforce a part of these terms, we haven’t given up the right to enforce it later.
- Transfer. You may not transfer these terms without our written consent. We may transfer them, for example as part of a merger or sale of our business.
- Notices. You agree to receive communications from us electronically, by email or in Mousepad, and that these meet any requirement for written notice. Send notices to us by email to privacy@mousepad.app or by mail to the address below.
- Export. You won’t export or transfer anything from Mousepad in breach of US export control laws or those of other countries.
- Words. “Including” means “including without limitation”.
